    O GOVERNO DA REGIÃO ADMINISTRATIVA

    ESPECIAL DE MACAU

    DA REPÚBLICA POPULAR DA CHINA

    E

    O GOVERNO DA REPÚBLICA DA ÍNDIA

    RELATIVO

    À TROCA DE INFORMAÇÕES EM MATÉRIA FISCAL

    O Governo da Região Administrativa Especial de Macau da República Popular da China e o Governo da República da Índia, pretendendo facilitar a troca de informações em matéria fiscal, acordaram o seguinte:

    Artigo 1.º

    Objecto e âmbito do Acordo

    As autoridades competentes das Partes Contratantes prestarão assistência mediante a troca de informações previsivelmente relevantes para a administração e aplicação das leis internas das Partes Contratantes, relativas aos impostos contemplados por este Acordo. Essas informações deverão incluir informações previsivelmente relevantes para a determinação, liquidação e cobrança desses impostos, para a cobrança e execução de créditos fiscais, ou para a investigação ou prossecução de questões fiscais. As informações serão trocadas de acordo com as disposições deste Acordo e consideradas confidenciais nos termos previstos no Artigo 8.º Os direitos e garantias atribuídos às pessoas pelas leis ou prática administrativa da Parte requerida manter-se-ão aplicáveis na medida em que não evitem ou atrasem indevidamente a troca efectiva de informações.

    Artigo 2.º

    Jurisdição

    As informações serão prestadas em conformidade com o presente Acordo, independentemente do facto de a pessoa a quem as informações dizem respeito, ou que detém as informações, ser residente de uma Parte Contratante. Contudo, a Parte requerida não é obrigada a fornecer informações de que não disponham as respectivas autoridades e que não se encontrem na posse ou sob o controlo de pessoas que se encontrem na sua jurisdição territorial.

    Artigo 3.º

    Impostos visados

    1. Os impostos que se encontram abrangidos por este Acordo são:

    a) Na Índia, impostos de qualquer espécie e descrição aplicados pelo Governo Central ou pelos Governos de subdivisões políticas ou autoridades locais, independentemente da forma em que são cobrados;

    b) Em Macau, impostos de qualquer espécie e descrição aplicados pelo governo da Região Administrativa Especial de Macau.

    2. O presente Acordo será igualmente aplicável aos impostos de natureza idêntica que entrem em vigor posteriormente à data da assinatura do Acordo e que venham a acrescer ou substituir os impostos existentes. O presente Acordo será igualmente aplicável aos impostos de natureza substancialmente similar que entrem em vigor após a data de entrada em vigor do Acordo e que venham a acrescer ou substituir os impostos existentes, se as autoridades competentes das Partes Contratantes assim o entenderem. Em complemento, os impostos abrangidos poderão ser expandidos ou modificados por procedimento amigável das Partes Contratantes na forma de troca de cartas. As autoridades competentes das Partes Contratantes comunicarão entre si quaisquer modificações substanciais na tributação e medidas conexas com a recolha de informações visadas no presente Acordo.

    Artigo 4.º

    Definições

    1. Para efeitos do presente Acordo, salvo definição em contrário:

    a) O termo «Índia», significa o território da Índia e inclui o mar territorial e o espaço aéreo sobre o mesmo bem como qualquer outra zona marítima na qual a Índia possui direitos soberanos, outros direitos e jurisdição, de acordo com a legislação Indiana e de acordo com o direito internacional, incluindo a Convenção das Nações Unidas sobre o Direito do Mar;

    b) O termo «Macau» significa a Região Administrativa Especial de Macau da República Popular da China; usado em sentido geográfico, compreende a península de Macau e as ilhas da Taipa e Coloane;

    c) O termo «Parte Contratante» significa Índia ou Macau conforme o contexto;

    d) O termo «autoridade competente» significa:

    (i) no caso da Índia, o Ministro das Finanças, o Governo da Índia ou um seu representante autorizado; e

    (ii) no caso de Macau, o Chefe do Executivo ou o seu representante autorizado;

    e) O termo «pessoa» compreende uma pessoa singular, uma sociedade e qualquer outra entidade que seja considerada como um sujeito tributável de acordo com a legislação fiscal em vigor nas respectivas Partes Contratantes;

    f) O termo «sociedade» significa qualquer pessoa colectiva ou entidade que é tratada como pessoa colectiva para efeitos tributários;

    g) O termo «sociedade cotada» significa qualquer sociedade cuja principal classe de acções se encontra cotada numa bolsa de valores reconhecida, desde que as acções cotadas possam ser imediatamente adquiridas ou vendidas pelo público. As acções podem ser adquiridas ou vendidas «pelo público» se a aquisição ou a venda de acções não estiver, implícita ou explicitamente, restringida a um grupo limitado de investidores;

    h) O termo «classe principal de acções» significa a classe ou classes de acções representativas de uma maioria de direito de voto e do valor da sociedade;

    i) O termo «bolsa de valores reconhecida» significa, na Índia, a Bolsa de Valores Nacional, a Bolsa de Valores de Bombaim, e qualquer outra bolsa de valores reconhecida pelo Conselho de Valores Mobiliários da Índia, ou qualquer bolsa de valores em Macau acordada entre as autoridades competentes das Partes Contratantes;

    j) O termo «fundo ou plano de investimento colectivo» significa qualquer veículo de investimento colectivo, independentemente da sua forma jurídica.

    k) O termo «fundo ou plano de investimento público colectivo» significa qualquer fundo ou plano de investimento colectivo, desde que as unidades, as acções ou outras participações no fundo ou plano possam ser imediatamente adquiridas, vendidas ou resgatadas pelo público. As unidades, as acções ou outras participações no fundo ou plano podem ser imediatamente adquiridas, vendidas ou resgatadas «pelo público» se a aquisição, a venda ou o resgate não estiver, implícita ou explicitamente, restringido a um grupo limitado de investidores;

    l) O termo «imposto» significa qualquer imposto a que o Acordo se aplica;

    m) O termo «Parte requerente» significa a Parte Contratante que:

    (i) submeta um pedido de informações, ou

    (ii) receba informações da Parte requerida;

    n) O termo «Parte requerida» significa a Parte Contratante:

    (i) a quem são solicitadas informações, ou

    (ii) que forneceu informações;

    o) O termo «medidas de recolha de informações» significa as leis ou procedimentos administrativos ou judiciais que permitem a uma Parte Contratante obter e fornecer as informações solicitadas;

    p) O termo «informações» significa qualquer facto, declaração, documento ou registo, independentemente da sua forma;

    2. No que se refere à aplicação a qualquer momento do presente Acordo por uma Parte Contratante, qualquer expressão não definida no mesmo deverá ter, a não ser que o contexto exija interpretação diferente ou as autoridades acordem um significado comum nos termos do disposto no Artigo 12.º do presente Acordo, o significado que lhe for atribuído naquele momento pela legislação dessa Parte, prevalecendo o significado resultante da legislação fiscal dessa Parte sobre o que decorra de outra legislação dessa Parte.

    Artigo 5.º

    Troca de informações a pedido

    1. A autoridade competente da Parte requerida prestará informações a pedido para os fins previstos no Artigo 1.º As informações serão prestadas independentemente do facto de a Parte requerida necessitar dessas informações para os seus próprios fins fiscais ou de o comportamento sob investigação constituir um crime de acordo com a legislação da Parte requerida, caso tal comportamento ocorresse na Parte requerida.

    2. Se as informações na posse da autoridade competente da Parte requerida não forem suficientes de modo a permitir-lhe satisfazer o pedido de informações, a referida Parte tomará todas as medidas adequadas para a recolha de informações relevantes a fim de prestar à Parte requerente as informações solicitadas, ainda que a Parte requerida não necessite dessas informações para os seus próprios fins fiscais.

    3. Se especificamente solicitado pela autoridade competente da Parte requerente, a autoridade competente da Parte requerida prestará as informações visadas no presente Artigo, na medida do permitido pela sua legislação interna, sob a forma de depoimentos de testemunhas e de cópias autenticadas de documentos originais.

    4. Cada Parte Contratante providenciará no sentido de que as respectivas autoridades competentes, em conformidade com o disposto no Artigo 1.º do presente Acordo, tenham o direito de obter e de fornecer, a pedido:

    a) Informações detidas por bancos, outras instituições financeiras e, por qualquer pessoa, incluindo nominees e trustees, que aja na qualidade de mandatário ou fiduciário;

    b) Informações relativas à propriedade legal e beneficiária de sociedades, sociedades de pessoas, fundos ou planos de investimento colectivo, trusts, fundações, e outras pessoas, incluindo, dentro dos limites do Artigo 2.º, informação sobre propriedade de todas essas pessoas numa cadeia de proprietários; no caso de fundos ou planos de investimento colectivo, informações relativas a acções, unidades e outras participações; no caso de trusts, informações relativas a settlors, trustees e beneficiários; e, no caso de fundações, informações relativas a fundadores, membros do conselho da fundação e beneficiários; e informação equivalente relativa a entidades que não sejam trusts ou fundações.

    5. Este Acordo não impõe às Partes Contratantes a obrigatoriedade de obterem ou fornecerem informações relativamente a propriedade de sociedades cotadas ou a fundos ou planos de investimento público colectivo, salvo se as referidas informações puderem ser obtidas sem gerarem dificuldades desproporcionadas.

    6. A autoridade competente da Parte requerente prestará as informações seguintes à autoridade competente da Parte requerida, sempre que apresente um pedido de informações ao abrigo do presente Acordo, em que demonstre a previsível relevância das informações solicitadas:

    a) a identidade da pessoa objecto de exame ou investigação;

    b) o período temporal ao qual a informação se refere;

    c) a indicação das informações pretendidas, incluindo a natureza das mesmas e a forma como a Parte requerente deseja recebê--las;

    d) a finalidade fiscal com que as informações são solicitadas;

    e) razões que levam a supor que as informações solicitadas são detidas na Parte requerida ou estão na posse ou sob o controlo de uma pessoa sujeita à jurisdição da Parte requerida;

    f) na medida em que sejam conhecidos, o nome e morada de qualquer pessoa em relação à qual haja a convicção de estar na posse das informações solicitadas;

    g) uma declaração de que o pedido está em conformidade com as disposições legislativas e com as práticas administrativas da Parte requerente, que, se as informações solicitadas relevassem da competência da Parte requerente, a autoridade competente da Parte requerente poderia obter as informações ao abrigo da sua legislação ou no quadro normal da sua prática administrativa e que o pedido de informações está em conformidade com o presente Acordo;

    h) uma declaração de que a Parte requerente utilizou para a obtenção das informações todos os meios disponíveis no seu próprio território, salvo aqueles susceptíveis de suscitar dificuldades desproporcionadas.

    7. A autoridade competente da Parte requerida comunicará tão diligentemente quanto possível a Parte requerente as informações solicitadas. A fim de assegurar uma resposta expedita, a autoridade competente da Parte requerida deverá confirmar, por escrito, a recepção do pedido à autoridade competente da Parte requerente e notificar a autoridade competente da Parte requerente de quaisquer eventuais lacunas no pedido, no prazo de 60 dias a contar da recepção do pedido.

    8. Se a autoridade competente da Parte requerida não tiver conseguido obter e fornecer as informações no prazo de 90 dias a contar da recepção do pedido, incluindo defrontar-se com obstáculos no fornecimento das informações ou recusa na prestação de informações, deverá de imediato informar a Parte requerente indicando as razões dessa incapacidade, a natureza dos obstáculos encontrados ou os motivos dessa recusa.

    Artigo 6.º

    Exames fiscais no estrangeiro

    1. A pedido da autoridade competente da Parte requerente, a Parte requerida pode, na medida do permitido na sua legislação interna, autorizar representantes da autoridade competente da Parte requerente a deslocarem-se ao território da Parte requerida, a fim de entrevistarem indivíduos e examinarem registos, com o prévio consentimento por escrito das pessoas visadas. A autoridade competente da Parte requerente deverá notificar à autoridade competente da Parte requerida sobre a data e local da reunião com as pessoas em causa.

    2. A pedido da autoridade competente da Parte requerente, a Parte requerida poderá autorizar representantes da autoridade competente da Parte requerente a assistirem à fase adequada de um exame fiscal na Parte requerida, caso em que, a autoridade competente da Parte requerida que realiza o exame dará conhecimento, logo que possível, à autoridade competente da Parte requerente da data e do local do exame, da autoridade ou do funcionário designado para a realização do exame, assim como dos procedimentos e das condições exigidas pela Parte requerida para a realização do exame. Quaisquer decisões respeitantes à realização do exame fiscal serão tomadas pela Parte que realiza o exame.

    Artigo 7.º

    Possibilidade de recusar um pedido de informações

    1. A autoridade competente da Parte requerida pode recusar prestar assistência:

    a) quando o pedido não for formulado em conformidade com o presente Acordo; ou

    b) quando a Parte requerente não tiver recorrido a todos os meios disponíveis no seu próprio território para obter as informações, excepto quando o recurso a tais meios for gerador de dificuldades desproporcionadas; ou

    c) quando a divulgação das informações for contrária à ordem pública (ordre public) da Parte requerida.

    2. O presente Acordo não impõe a uma Parte Contratante a obrigação de:

    a) prestar informações susceptíveis de revelar um segredo comercial, industrial ou profissional ou um processo comercial, desde que as informações referidas no Artigo 5.º, número 4, não sejam tratadas como um segredo ou processo comercial unicamente pelo facto de satisfazerem os critérios previstos nesse número; ou

    b) obter ou prestar informações susceptíveis de divulgar comunicações confidenciais entre cliente e advogado, solicitador ou outro representante legal autorizado, quando tais comunicações:

    i) se destinem a solicitar ou fornecer um parecer jurídico; ou

    ii) se destinem a ser utilizadas num processo judicial em curso ou previsto.

    c) executar medidas administrativas contrárias à sua legislação e prática administrativa, na medida em que o disposto nesta alínea não afecte as obrigações de uma Parte Contratante nos termos do Artigo 5.º, número 4.

    3. Um pedido de informações não pode ser recusado com fundamento na impugnação do crédito fiscal objecto do pedido.

    4. A Parte requerida não fica obrigada a obter ou a prestar informações que a Parte requerente não pudesse obter, em idênticas circunstâncias, ao abrigo da sua própria legislação para fins de administração ou execução da sua própria legislação fiscal, ou em resposta a um pedido válido da Parte requerida, nos termos do presente Acordo.

    5. A Parte requerida não pode recusar prestar informações unicamente porque o pedido não inclui toda a informação necessária nos termos do Artigo 5.º, se a informação puder de outra forma ser prestada de acordo com a legislação da Parte requerida.

    Artigo 8.º

    Confidencialidade

    Quaisquer informações recebidas por uma Parte Contratante com base neste Acordo serão tratadas como confidenciais e poderão ser divulgadas apenas às pessoas ou autoridades (incluindo tribunais e órgãos administrativos) na jurisdição da Parte Contratante relacionadas com a liquidação ou cobrança, execução ou prossecução, ou decisão de recursos, relativamente aos impostos estabelecidos numa Parte Contratante. Essas pessoas ou autoridades devem usar essa informação apenas para esses fins. Poderão divulgar as informações em audiências públicas de tribunais ou decisões judiciais. Essas informações não poderão ser divulgadas a qualquer outra pessoa ou entidade ou autoridade ou qualquer outra jurisdição sem o expresso consentimento por escrito da autoridade competente da Parte requerida. Informações recebidas pela Parte requerida em conexão com um pedido de informações com base neste Acordo serão, do mesmo modo, tratadas como confidenciais na Parte requerida.

    Artigo 9.º

    Custos

    Salvo acordo em contrário pelas autoridades competentes das Partes Contratantes, os custos ordinários incorridos em conexão com a assistência prestada serão suportados pela Parte requerida e os custos extraordinários incorridos em conexão com a assistência prestada serão suportados pela Parte requerente.

    Artigo 10.º

    Legislação necessária

    As Partes Contratantes aprovarão toda a legislação necessária a fim de darem cumprimento ao presente Acordo e à execução do mesmo.

    Artigo 11.º

    Língua

    Os pedidos de assistência e as respectivas respostas deverão ser redigidos em língua inglesa ou em qualquer outra língua acordada bilateralmente entre as autoridades competentes das Partes Contratantes nos termos do Artigo 12.º

    Artigo 12.º

    Procedimento amigável

    1. No caso de se suscitarem dificuldades ou dúvidas entre as Partes Contratantes relativamente à aplicação ou interpretação do Acordo, as autoridades competentes esforçar-se-ão por resolver a questão através de procedimento amigável.

    2. Adicionalmente, as autoridades competentes das Partes Contratantes poderão mutuamente definir os procedimentos a seguir nos termos dos Artigos 5.º e 6.º do presente Acordo.

    3. As autoridades competentes das Partes Contratantes podem comunicar directamente entre si a fim de chegarem a acordo com base no presente Artigo.

    Artigo 13.º

    Entrada em vigor

    1. Cada uma das Partes Contratantes notificará à outra por escrito da conclusão dos procedimentos necessários pela sua legislação para a entrada em vigor do presente Acordo.

    2. O Acordo entrará em vigor na data em que for recebida a última dessas notificações e produzirá efeitos a partir dessa data.

    Artigo 14.º

    Denúncia

    1. Este Acordo permanecerá em vigor até ser denunciado por qualquer das Partes Contratantes.

    2. Qualquer das Partes Contratantes poderá, decorridos cinco anos após a data da sua entrada em vigor, denunciar este Acordo, mediante envio de notificação escrita de cessação à outra Parte Contratante.

    3. Essa denúncia torna-se efectiva no primeiro dia do mês seguinte ao final do período de seis meses após a data de recepção da notificação de cessação pela outra Parte Contratante. Quaisquer pedidos recebidos até à data efectiva de denúncia deverão ser tratados em conformidade com as disposições deste Acordo.

    4. Não obstante a denúncia deste Acordo por uma Parte Contratante, ambas as Partes continuarão vinculadas ao disposto no Artigo 8.º deste Acordo relativamente a quaisquer informações obtidas com base no presente Acordo.

    Em fé do que, os signatários, devidamente autorizados para o efeito, assinaram o presente Acordo.

    Feito em duplicado, em Macau, aos 3 dias do mês de Janeiro de 2012, nas línguas Chinesa, Portuguesa, Hindi e Inglesa fazendo todos os textos igualmente fé. Em caso de divergências entre os textos, a versão inglesa prevalecerá.

    AGREEMENT

    BETWEEN

    THE GOVERNMENT OF THE MACAO SPECIAL

    ADMINISTRATIVE REGION OF THE PEOPLE’S

    REPUBLIC OF CHINA

    AND

    THE GOVERNMENT OF THE REPUBLIC OF INDIA

    FOR

    THE EXCHANGE OF INFORMATION WITH RESPECT TO TAXES

    The Government of the Macao Special Administrative Region of the People’s Republic of China and the Government of the Republic of India, desiring to facilitate the exchange of information with respect to taxes, have agreed as follows:

    Article 1

    OBJECT AND SCOPE OF THE AGREEMENT

    The competent authorities of the Contracting Parties shall provide assistance through exchange of information that is foreseeably relevant to the administration and enforcement of the internal laws of the Contracting Parties concerning taxes covered by this Agreement. Such information shall include information that is foreseeably relevant to the determination, assessment and collection of such taxes, the recovery and enforcement of tax claims, or the investigation or prosecution of tax matters. Information shall be exchanged in accordance with the provisions of this Agreement and shall be treated as confidential in the manner provided in Article 8. The rights and safeguards secured to persons by the laws or administrative practice of the requested Party remain applicable to the extent that they do not unduly prevent or delay effective exchange of information.

    Article 2

    JURISDICTION

    Information shall be exchanged in accordance with this Agreement without regard to whether the person to whom the information relates is, or whether the information is held by a resident of a Contracting Party. However a requested Party is not obligated to provide information which is neither held by its authorities nor is in the possession or control of persons who are within its territorial jurisdiction.

    Article 3

    TAXES COVERED

    1. The taxes which are the subject of this Agreement are:

    a) In India, taxes of every kind and description imposed by the Central Government or the Governments of political subdivisions or local authorities, irrespective of the manner in which they are levied;

    b) In Macao, taxes of every kind and description imposed by the Government of the Macao Special Administrative Region.

    2. This Agreement shall also apply to any identical taxes imposed after the date of entry into force of the Agreement in addition to, or in place of the existing taxes. This Agreement shall also apply to any substantially similar taxes imposed after the date of entry into force of the Agreement in addition to or in place of the existing taxes if the competent authorities of the Contracting Parties so agree. Furthermore, the taxes covered may be expanded or modified by mutual agreement of the Contracting Parties in the form of an exchange of letters. The competent authorities of the Contracting Parties shall notify each other of any substantial changes to the taxation and related information gathering measures covered by the Agreement.

    Article 4

    DEFINITIONS

    1. For the purposes of this Agreement, unless otherwise defined:

    a) the term “India” means the territory of India and includes the territorial sea and airspace above it, as well as any other maritime zone in which India has sovereign rights, other rights and jurisdiction, according to the Indian law and in accordance with international law, including the U.N. Convention on the Law of the Sea;

    b) the term “Macao”, means the Macao Special Administrative Region of the People’s Republic of China; used in a geographical sense, it means the peninsula of Macao and the islands of Taipa and Coloane;

    c) the term “Contracting Party” means India or Macao as the context requires;

    d) the term “competent authority” means

    (i) In the case of India, the Finance Minister, Government of India, or his authorised representative; and

    (ii) In the case of Macao, the Chief Executive or his authorised representative;

    e) the term “person” includes an individual, a company, and any other entity which is treated as a taxable unit under the taxation laws in force in the respective Contracting Parties;

    f) the term “company” means any body corporate or any entity that is treated as a body corporate for tax purposes;

    g) the term “publicly traded company” means any company whose principal class of shares is listed on a recognised stock exchange provided its listed shares can be readily purchased or sold by the public. Shares can be purchased or sold “by the public” if the purchase or sale of shares is not implicitly or explicitly restricted to a limited group of investors;

    h) the term “principal class of shares” means the class or classes of shares representing a majority of the voting power and value of the company;

    i) the term “recognised stock exchange” means in India, the National Stock Exchange, the Bombay Stock Exchange, and any other stock exchange recognised by the Securities and Exchange Board of India or any stock exchange in Macao agreed upon by the competent authorities of the Contracting Parties;

    j) the term “collective investment fund or scheme” means any pooled investment vehicle, irrespective of legal form;

    k) The term “public collective investment fund or scheme” means any collective investment fund or scheme provided the units, shares or other interests in the fund or scheme can be readily purchased, sold or redeemed by the public. Units, shares or other interests in the fund or scheme can be readily purchased, sold or redeemed “by the public” if the purchase, sale or redemption is not implicitly or explicitly restricted to a limited group of investors;

    l) the term “tax” means any tax to which the Agreement applies;

    m) the term “requesting Party” means the Contracting Party:

    (i) submitting a request for information to, or

    (ii) having received information from the requested Party;

    n) the term “requested Party” means the Contracting Party:

    (i) which is requested to provide information, or

    (ii) which has provided information;

    o) the term “information gathering measures” means laws and administrative or judicial procedures that enable a Contracting Party to obtain and provide the requested information;

    p) the term “information” means any fact, statement, document or record in whatever form.

    2. As regards the application of this Agreement at any time by a Contracting Party, any term not defined therein, unless the context otherwise requires or the competent authorities agree to a common meaning pursuant to the provisions of Article 12 of this Agreement, shall have the meaning that it has at that time under the law of that Party, any meaning under the applicable tax laws of that Party prevailing over a meaning given to the term under other laws of that Party.

    Article 5

    EXCHANGE OF INFORMATION UPON REQUEST

    1. The competent authority of the requested Party shall provide upon request information for the purposes referred to in Article 1. Such information shall be exchanged without regard to whether the requested Party needs such information for its own tax purposes or whether the conduct being investigated would constitute a crime under the laws of the requested Party if such conduct occurred in the requested Party.

    2. If the information in the possession of the competent authority of the requested Party is not sufficient to enable it to comply with the request for information, that Party shall use all relevant information gathering measures to provide the requesting Party with the information requested, notwithstanding that the requested Party may not need such information for its own tax purposes.

    3. If specifically requested by the competent authority of the requesting Party, the competent authority of the requested Party shall provide information under this Article, to the extent allowable under its internal laws, in the form of depositions of witnesses and authenticated copies of original records.

    4. Each Contracting Party shall ensure that its competent authority for the purposes specified in Article 1 of this Agreement, has the authority to obtain and provide upon request:

    a) information held by banks, other financial institutions, and any person, including nominees and trustees, acting in an agency or fiduciary capacity;

    b) information regarding the legal and beneficial ownership of companies, partnerships, collective investment funds or schemes, trusts, foundations, and other persons, including, within the constraints of Article 2, ownership information on all such persons in an ownership chain; in the case of collective investment funds or schemes, information on shares, units and other interests; in the case of trusts, information on settlors, trustees and beneficiaries; in the case of foundations, information on founders, members of the foundation council and beneficiaries; and equivalent information in case of entities that are neither trusts nor foundations.

    5. This Agreement does not create an obligation on the Contracting Parties to obtain or provide ownership information with respect to publicly traded companies or public collective investment funds or schemes unless such information can be obtained without giving rise to disproportionate difficulties.

    6. The competent authority of the requesting Party shall provide the following information to the competent authority of the requested Party when making a request for information under the Agreement to demonstrate the foreseeable relevance of the information to the request:

    a) the identity of the person under examination or investigation;

    b) the period for which the information is requested;

    c) a statement of the information sought including its nature and the form in which the requesting Party would prefer to receive it;

    d) the tax purpose for which the information is sought;

    e) grounds for believing that the information requested is held in the requested Party or is in the possession or control of a person within the jurisdiction of the requested Party;

    f) to the extent known, the name and address of any person believed to be in possession of the requested information;

    g) a statement that the request is in conformity with the law and administrative practices of the requesting Party, that if the requested information was within the jurisdiction of the requesting Party then the competent authority of the requesting Party would be able to obtain the information under the laws of the requesting Party or in the normal course of administrative practice and that it is in conformity with this Agreement;

    h) a statement that the requesting Party has pursued all means available in its own territory to obtain the information, except those that would give rise to disproportionate difficulties.

    7. The competent authority of the requested Party shall forward the requested information as promptly as possible to the requesting Party. To ensure a prompt response, the competent authority of the requested Party shall confirm receipt of a request in writing to the competent authority of the requesting Party and shall notify the competent authority of the requesting Party of deficiencies in the request, if any, within 60 days of the receipt of the request.

    8. If the competent authority of the requested Party has been unable to obtain and provide the information within 90 days of receipt of the request, including if it encounters obstacles in furnishing the information or it refuses to furnish the information, it shall immediately inform the requesting Party, explaining the reason for its inability, the nature of the obstacles or the reasons for its refusal.

    Article 6

    TAX EXAMINATIONS ABROAD

    1. At the request of the competent authority of the requesting Party, the requested Party may allow representatives of the competent authority of the requesting Party to enter the territory of the requested Party, to the extent permitted under its internal laws, to interview individuals and examine records with the prior written consent of the individuals or other persons concerned. The competent authority of the requesting Party shall notify the competent authority of the requested Party of the time and place of the intended meeting with the individuals concerned.

    2. At the request of the competent authority of the requesting Party, the requested Party may allow representatives of the competent authority of the requesting Party to be present at the appropriate part of a tax examination in the requested Party, in which case the competent authority of the requested Party conducting the examination shall, as soon as possible, notify the competent authority of the requesting Party about the time and place of examination, the authority or official designated to carry out the examination and the procedures and conditions required by the requested Party for the conduct of the examination. All decisions with respect to the conduct of the tax examination shall be made by the Party conducting the examination.

    Article 7

    POSSIBILITY OF DECLINING A REQUEST FOR INFORMATION

    1. The competent authority of the requested Party may decline to assist:

    a) where the request is not made in conformity with this Agreement; or

    b) where the requesting Party has not pursued all means available in its own territory to obtain the information, except where recourse to such means would give rise to disproportionate difficulty; or

    c) where the disclosure of the information would be contrary to public policy (ordre public) of the requested Party.

    2. This Agreement shall not impose on a Contracting Party the obligation:

    a) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, provided that information described in paragraph 4 of Article 5 shall not be treated as such a secret or trade process merely because it meets the criteria in that paragraph; or

    b) to obtain or provide information, which would reveal confidential communications between a client and an attorney, solicitor or other admitted legal representative where such communications are:

    (i) produced for the purposes of seeking or providing legal advice; or

    (ii) produced for the purposes of use in existing or contemplated legal proceedings; or

    c) to carry out administrative measures at variance with its laws and administrative practices, provided nothing in this subparagraph shall affect the obligations of a Contracting Party under paragraph 4 of Article 5.

    3. A request for information shall not be refused on the ground that the tax claim giving rise to the request is disputed.

    4. The requested Party shall not be required to obtain or provide information which the requesting Party would be unable to obtain in similar circumstances under its own laws for the purposes of the administration or enforcement of its own tax laws or in response to a valid request from the requested Party under this Agreement.

    5. The requested Party shall not decline to provide information solely because the request does not include all the information required under Article 5 if the information can otherwise be provided according to the law of the requested Party.

    Article 8

    CONFIDENTIALITY

    Any information received by a Contracting Party under this Agreement shall be treated as confidential and may be disclosed only to persons or authorities (including courts and administrative bodies) in the jurisdiction of the Contracting Party concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by this Agreement. Such persons or authorities shall use such information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions. The information may not be disclosed to any other person, entity or authority or any other jurisdiction without the express written consent of the competent authority of the requested Party. Information received by a requested Party in conjunction with a request for assistance under this Agreement shall likewise be treated as confidential in the requested Party.

    Article 9

    COSTS

    Unless the competent authorities of the parties otherwise agree, ordinary costs incurred in providing assistance shall be borne by the requested Party and extraordinary costs incurred in providing assistance shall be borne by the requesting Party.

    Article 10

    IMPLEMENTATION LEGISLATION

    The Contracting Parties shall enact any legislation necessary to comply with, and give effect to, the terms of the Agreement.

    Article 11

    LANGUAGE

    Request for assistance and answers thereto shall be drawn up in English or any other language agreed bilaterally between the competent authorities of the Contracting Parties under Article 12.

    Article 12

    MUTUAL AGREEMENT PROCEDURE

    1. Where difficulties or doubts arise between the Contracting Parties regarding the implementation or interpretation of the Agreement, the competent authorities shall endeavour to resolve the matter by mutual agreement.

    2. In addition, the competent authorities of the Contracting Parties may mutually agree on the procedures to be used under Articles 5 and 6 of this Agreement.

    3. The competent authorities of the Contracting Parties may communicate with each other directly for the purposes of reaching agreement under this Article.

    Article 13

    ENTRY INTO FORCE

    1. The Contracting Parties shall notify each other in writing of the completion of the procedures required by the respective laws for the entry into force of this Agreement.

    2. The Agreement shall enter into force from the date of receipt of later of the notifications and shall thereupon have effect forthwith.

    Article 14

    TERMINATION

    1. This Agreement shall remain in force until terminated by either Contracting Party.

    2. Either Contracting Party may, after the expiry of five years from the date of its entry into force, terminate the Agreement by serving a written notice of termination to the other Contracting Party.

    3. Such termination shall become effective on the first day of the month following the expiration of a period of six months after the date of receipt of notice of termination by the other Contracting Party. All requests received up to the effective date of termination shall be dealt with in accordance with the provisions of the Agreement.

    4. If a Contracting Party terminates this Agreement, notwithstanding such terminations, both parties shall remain bound by the provisions of Article 8 of this Agreement with respect to any information obtained under this Agreement.

    IN WITNESS WHEREOF the undersigned, being duly authorised thereto, have signed this Agreement.

    DONE in duplicate at Macao, on 3rd day of January 2012, in the Chinese, Portuguese, Hindi and English languages, all texts being equally authentic. In case of divergence between the texts, the English version shall prevail.
