行政長官根據澳門特別行政區第3/1999號法律第六條第一款的規定,命令公佈二零一一年一月十七日簽署的《中華人民共和國澳門特別行政區政府與颱風委員會關於颱風委員會秘書處行政、財務及相關安排的協定》。該協定的中、英文正式文本及葡文譯本一併公佈。

中華人民共和國澳門特別行政區政府與颱風委員會關於颱風委員會秘書處行政、財務及相關安排的協定

鑑於亞太經濟和社會委員會/世界氣象組織之颱風委員會(以下簡稱委員會)決定接受澳門特別行政區政府(以下簡稱政府)慷慨給予颱風委員會秘書處(以下簡稱秘書處)設於澳門特別行政區(以下簡稱澳門特區);

鑑於政府已提出向秘書處提供辦公用房(以下簡稱“房舍”)和提供自願現金捐款(以下簡稱“捐款”),供秘書處用於支付房舍的運轉和保養費用,且委員會已接受政府的建議;

鑑於颱風委員會與中華人民共和國政府於2006年12月7日締結了關於颱風委員會秘書處協定(以下簡稱“東道國協定”);

鑑於委員會與政府(以下簡稱“雙方”)希望建立必要的條件以提升颱風委員會秘書處在澳門特區的地位,因為颱風委員會秘書處是政府間組織的執行機構,並由聯合國亞太區域發展支部之亞太經濟和社會委員會和聯合國專門機構之世界氣象組織所組成;及

鑑於雙方首份關於颱風委員會秘書處行政、財務及相關安排的協定已於2007年2月13日簽定,並應自雙方簽字之日起四年期後重新檢討。

基此,委員會與政府特商定如下:

第一條

一、政府應在秘書處在澳門特區設立期間或直到東道國協定第XV條規定終止為止,為秘書處的工作繼續提供房舍和必要的停車場地,免收租金、稅金、財產費和其他費用。

二、秘書處將繼續設於澳門路環十月初五馬路。

第二條

一、一旦有必要由政府充分授權的代表檢查、修繕、保養或重建房舍或其中的某部分,政府應事先通知颱風委員會。颱風委員會應作出適當安排,讓該授權代表進入房舍,但條件是不得不合理地妨礙秘書處履行職責。

二、政府應盡一切努力確保房舍周圍的活動不會對颱風委員會秘書處使用房舍造成不利影響。

第三條

一、政府應負責房舍的重大改善和修繕,其中包括對建築物、裝置、固定設施和設備進行結構修理和更換,並承擔所有費用和支出。在不免除政府對重大改建和修繕所承擔義務的前提下,颱風委員會應負責房舍室內的日常保養和零星修理,其費用從捐款中支付。

二、儘管會有與本條相反的情況,颱風委員會對因內亂、騷亂、破壞他人財產行為、飛機和其他飛行器、戰爭、洪災、地震或不可抗力原因對房舍造成損壞而需要進行的任何修繕或更換,不應承擔任何經濟責任和任何義務。若遇火災,颱風委員會的經濟責任應限於其按本協定第四條規定所承擔的義務。

第四條

一、颱風委員會應確保按澳門特區慣常方式為房舍投保合理金額的損失險。保險單應注明政府為附加受保方。如出現這類損毀,颱風委員會對政府的責任僅限於按本款的規定辦理和維持保險。若因上述風險或原因使房舍受到任何損毀或毀壞,颱風委員會不負責房舍的修復或重建。

二、颱風委員會應負責為房舍內的自有及其官員、雇員、代理、服務人員、賓客或分包商的財產、固定設施和設備投保或自保,並可為因颱風委員會占用房舍而在房舍發生的人身傷害或死亡、財產遺失或損壞辦理並維持公共責任險。

第五條

一、若房舍或房舍的任何部分因失火或任何其他原因遭到損毀,政府應在房舍只是部分損毀時修復房舍遭損毀的部分。颱風委員會單方認為房舍被全部毀壞或不再適合繼續占用的情況下,政府應避免不必要的耽擱,按照本協定有關提供房舍的類似條款和條件,為颱風委員會提供其可接受的其他適當的同類房舍,並應承擔秘書處遷入新房舍的所有直接和間接費用。

二、除本條第一款所規定的內容外,如果房舍已無法利用,或出現被抵押償債、沒收或其他合法處置的情況,或者如果政府提出提供新房舍,政府應避免不必要的耽擱,按照本協定有關提供房舍的類似條款和條件,為颱風委員會提供其可接受的其他適當的同類房舍,並應承擔秘書處遷入新房舍的所有直接和間接費用。秘書處應留在房舍直至新房舍可供占用之時。

三、政府保證秘書處的工作方案和活動,不會由於出現本條第一和第二款規定的情況而需要搬遷時受到不利影響。

第六條

若出現秘書處搬出房舍的情況,颱風委員會應按接收時的良好狀況,除掉合理磨損和不可抗力因素及事件造成的損壞,向政府交還房舍,政府理解不應要求颱風委員會把房舍恢復至颱風委員會或政府根據本協定可能進行的任何改建或改動之前的形狀或狀況。

第七條

一、當以下人員以公務目的參加颱風委員會的工作時,政府應避免不必要的耽擱,採取適當措施,盡快協助其進出澳門。

(一)颱風委員會會員政府代表以及參加颱風委員會工作的聯合國亞洲及太平洋經濟社會委員會及世界氣象組織代表;

(二)颱風委員會的官員,其家屬及其他家庭成員;

(三)除颱風委員會的官員外,其他履行有關颱風委員會任務的人員及其家屬;

(四)經徵求政府意見後由颱風委員會授權作為傳媒或其他資訊機構的代表。

二、應為本條所提及的人員加急免費辦理簽證。

第八條

政府應按慣常方式為外地的颱風委員會官員提供附有家具的宿舍及支付醫療福利。

第九條

一、政府應提供每年總額至多為300,000.00美元整(叁拾萬美元)的捐款,供颱風委員會秘書處支配。此項捐款應作為嚴格專用捐款,用於支付如本協定附件所列明的秘書處工作人員的部分費用和日常運作費用。

二、政府應支付專業工作人員的薪酬,即氣象專家、水文專家及減少災害風險的專家。秘書處將根據澳門特別行政區政府的法律及規定中按相等於高級技術員的薪酬的水平於颱風委員會成員中招募。

三、政府應於年度初提供捐款。

四、捐款應於澳門特區銀行內透過特別的帳戶交存。

五、政府應按以下詳細資料將捐款存入銀行帳戶:

六、任何生成的利息均應存入捐款並根據本協定加以使用。

第十條

颱風委員會秘書處應負責捐款的管理,並向政府和颱風委員會負責。

第十一條

與捐贈基金相關的所有財務帳目及報表應以美元表示。

第十二條

一、捐贈基金應支付附件所列與秘書處有關的下列費用,以及簽約雙方以書面形式商定的其他費用。雙方每年將根據現有資金情況對本協定附件進行修訂。

二、颱風委員會須用捐贈基金以外的資金來源負責承擔秘書處不屬本條第一款範圍的活動費用。

三、在捐款的任何部分用於本協定附件所列項目以外的用途之前,應事先徵求政府的意見。

四、在本協定根據第十七條終止或本協定期滿之日,捐款的剩餘部分將繼續由颱風委員會持有,直至用該筆資金支付了颱風委員會的所有費用為止。之後,捐款的所有結餘及利息(如有的話),須與第十四條中提及的最後財產報告一併退還政府。

第十三條

一、捐贈基金贊助的設備、用品和其他財產的所有權屬颱風委員會。

二、政府專為秘書處使用目的所提供的任何可移動和不可移動財產及設施仍屬於政府的財產。

第十四條

一、捐贈基金只服從政府慣常方式的內部和外部審計程序。

二、颱風委員會應向政府提供根據政府的慣常方式會計和報告程序編製的以下報表和報告:

(一)顯示截至每年十二月三十一日的收入、支出、資產和負債情況的年度財務報表。

(二)在本協定期滿或終止之日起六個月之內提出最後報告和最後報表。

第十五條

一、本協定可應任何一方請求,通過相互同意加以修訂。任何此類修訂應以書面形式並由雙方共同簽字。

二、如政府內部和外部審計員發現基金被濫用或與帳目不符,政府保留中止全部或部分付款,又或要求退款的權利,包括捐款生成的利息。在此情況下,颱風委員會應根據審計建議和政府的慣常方式向政府退賠。

第十六條

颱風委員會與政府對本協定的解釋或適用方面的任何分歧,應尋求友好一致的解決方案。颱風委員會與政府關於本協定的解釋或適用的任何爭端應根據東道國協定第XIV條解決。

第十七條

一、本協定在雙方簽字之日起生效。

二、本協定應自雙方簽字之日起四年期內重新檢討續期的可行性。本協定在東道國協定根據其第XV條而終止時隨之終止。

本協定,一式兩份,每份均用中文和英文寫成及簽署,兩種文本同等作準。

AGREEMENT BETWEEN THE GOVERNMENT OF THE MACAO SPECIAL ADMINISTRATIVE REGION OF THE PEOPLE’S REPUBLIC OF CHINA AND THE ESCAP/WMO TYPHOON COMMITTEE REGARDING ADMINISTRATIVE, FINANCIAL AND RELATED ARRANGEMENTS FOR THE TYPHOON COMMITTEE SECRETARIAT

WHEREAS in view of the decision of the ESCAP/WMO Typhoon Committee (herein after “the Committee”) to accept the generous offer of the Government of Macao Special Administrative Region of China (hereinafter “the Government”) to host the Typhoon Committee Secretariat (hereinafter “TCS”) in the Macao Special Administrative Region (hereinafter “MSAR”);

WHEREAS the Government has offered to provide office premises for the Secretariat (hereinafter “Premises”), and to make a voluntary contribution in cash to be used by the Secretariat in meeting the cost of the operation and maintenance of the Premises (hereinafter “the Contribution”), and the Committee has accepted the Government offer;

WHEREAS on 7 December 2006, the Committee and the Government of the People’s Republic of China concluded an Agreement concerning the TCS (hereinafter “Host Country Agreement”);

WHEREAS the Committee and the Government (hereinafter “the Parties”) wish to establish the necessary conditions to dignify the functions of the TCS in MSAR, as executive body of an intergovernmental organization created under the auspices of the United Nations Economic and Social Commission for Asia and the Pacific (ESCAP), the regional development arm of the United Nations for the Asia-Pacific region, and the World Meteorological Organization (WMO), specialized agency of the United Nations, and

WHEREAS the first Agreement between the Parties regarding the Administrative, Financial and Related Arrangements for the Typhoon Committee Secretariat which was signed on February 13, 2007 needed to be reviewed at the end of four-year period from the date of signature by both parties.

NOW THEREFORE, the Committee and the Government hereby agree as follows:

Article 1

1- The Government shall continue to provide premise and parking space necessary for the work of the Secretariat, free of rent, taxes, encumbrances and other charges, for as long as the Secretariat shall remain established in MSAR or until such time as the Host Country Agreement is terminated under Article XV thereof.

2- The Secretariat shall continue to be located at Avenida de Cinco de Outubro at Coloane Island, Macao.

Article 2

1- The Government shall notify the Typhoon Committee in advance should it become necessary for duly authorized representatives of the Government to inspect, repair, maintain, or reconstruct the Premises or a portion thereof. The Typhoon Committee shall make suitable arrangements to enable such authorized representatives to enter the Premises, under conditions which shall not unreasonably disturb the carrying out of the functions of the Secretariat.

2- The Government shall make every effort to ensure that activities in the vicinity of the Premises shall not adversely affect their use by the Typhoon Committee Secretariat.

Article 3

1- The Government shall be responsible for, and shall cover the costs and expenses of, major modifications and repairs to the Premises, including structural repairs and replacements to the building, installations, fixtures and equipment. Without derogation from the obligation of the Government for major modifications and repairs, the Typhoon Committee shall be responsible for the regular maintenance and minor repairs of the interior of the Premises, the cost of which shall be charged to the Contribution.

2- Notwithstanding anything to the contrary provided herein, the Typhoon Committee shall have no financial responsibility and shall not be obliged to make any repairs or replacements made necessary as a result of damage to the Premises caused by civil disturbance, riot, vandalism, aircraft and other aerial devices, war, floods, earthquakes or force majeure. In case of fire, the financial responsibility of the Typhoon Committee shall be limited to its obligations under Article 4 of this Agreement.

Article 4

1- The Typhoon Committee shall ensure that the Premises are insured for a reasonable amount, consistent with general practice in MSAR, against damage. The insurance policy shall name the Government as additional insured. The Typhoon Committee’ obligation to the Government in case of such damage is limited to taking out and maintaining insurance as provided in this paragraph. The Typhoon Committee shall not be responsible for restoration or reconstruction of the Premises in case of any damage or destruction of the Premises resulting from such risks or causes.

2- The Typhoon Committee shall be responsible for insuring or self-insuring its own property, fixtures and fittings, and that of its officials, employees, agents, servants, invitees or sub-contractors in the Premises, and may secure and maintain public liability insurance for personal injury or death, and loss of or damage to property, occurring on the Premises, which is attributable to the occupation and use of the Premises by the Typhoon Committee.

Article 5

1- Should the Premises or any part thereof be damage by fire or any other cause, the Government shall, in case of partial damage of the Premises, restore such damage Premises. In the event that, in the sole discretion of the Typhoon Committee, the Premises are totally destroyed or otherwise rendered unfit for further occupancy or use, the Government shall provide the Typhoon Committee, without undue delay, with other suitable and comparable premises acceptable to the Typhoon Committee, under terms and conditions similar to those under which the Premises are provided under this Agreement, and shall cover all costs directly and indirectly related to the move of the Secretariat to such new premises.

2- Except as provided in paragraph 1 of this Article, should the Premises no longer be available, or in case of any foreclosure, condemnation or other lawful taking, or if the Government offers new Premises, the Government shall provide the Typhoon Committee, without undue delay, with such other suitable and comparable premises acceptable to the Typhoon Committee, under terms and conditions similar to those under which the Premises are provided hereunder, and shall cover all costs directly and indirectly related to the move of the Secretariat to such new premises. The Secretariat shall remain in the Premises until such time that the new premises are available for occupancy.

3- The Government warrants that the work programmes and activities of the Secretariat shall not be adversely affected by a move required by the events specified in paragraphs 1 and 2 of this article.

Article 6

In the event that the Secretariat vacates the Premises, the Typhoon Committee shall surrender to the Government the Premises in as good a condition as when taken, reasonable wear and tear, damage by the elements and events of force majeure excepted, it being understood that the Typhoon Committee shall not be required to restore the Premises to the shape and state existent prior to any alterations or changes that may have been executed by the Typhoon Committee or the Government in accordance with this Agreement.

Article 7

1- The Government shall take all necessary measures impose no impediment to ensure that the entry into and exit transit to or from Macao the working site of the following persons traveling for the purpose of official business of the Typhoon Committee are facilitated without undue delay:

(a) Representatives of Governments of the Typhoon Committee Members, UNESCAP and WMO participating in the work of the Typhoon Committee;

(b) Officials of the Typhoon Committee, their families and other members of their households;

(c) Persons, other than officials of Typhoon Committee, performing missions for the Typhoon Committee, in relation with the Typhoon Committee, and their families;

(d) Representatives of the media or other information agencies, who have been accredited by the Typhoon Committee after consultation with the Government;

2- Visas which may be necessary for persons referred to in this Article shall be granted as speedily as possible and without charge.

Article 8

The Government shall provide, to Officials of the Typhoon Committee from abroad, residential accommodation with furniture on payment and medical benefits laid down in the general practice of the Government.

Article 9

1- The Government shall, place at the disposal of Typhoon Committee Secretariat, yearly, its Contribution, as a Endowment Fund, not exceeding the sum of US$ 300 thousand (US Dollars three hundred thousand only). This contribution shall serve as a strictly reserved contribution, to help cover partly the cost of staff and the daily operations, as indicated in the Annex to this agreement, of the Secretariat.

2- The Government shall pay to the professional staff, as meteorologist, hydrologist and expert in disaster risk reduction. The recruitment shall be made by TCS among the TC Members, with salary level as a senior technician, of the Macao SAR government, according to the concerned laws and regulations of the Macao SAR.

3- The Government shall deposit the funds yearly and at the beginning of a civil year.

4- The Contributions shall be paid to and held in a special account in a bank in MSAR.

5- The Government shall deposit the funds in bank account as per the following details:

6- Any interest accrued will be credited to the Contribution and used in accordance with this Agreement.

Article 10

The Typhoon Committee Secretariat will be responsible for the management of this fund and accountable to the Government and Typhoon Committee.

Article 11

All financial accounts and statements related to the Endowment fund shall be express in United States Dollars.

Article 12

1- The Endowment Fund shall be used with the following costs related to the Secretariat that are listed in the Annex hereof, and such others costs as may be agreed in writing by the Parties. On an annual basis, in consideration of the available resources, the Parties will revise the Annex to this Agreement.

2- The Typhoon Committee shall be responsible for meeting, from sources other than the Endowment fund, the costs of the operation of the Secretariat that do not fall under paragraph 1 of this Article.

3- The Government shall be consulted in advance before any part of the Contribution is expended on items not listed in the Annex to this Agreement.

4- On termination of this agreement under Article 17 or on expiration of the Agreement, the remaining part of the Contribution will continue to be held by Typhoon Committee until all expenditures incurred by Typhoon Committee have been satisfied from such funds. Thereafter, any remaining balance of the Contribution and the accrued interest, if any, shall be returned to the Government, along with the final financial statement referred to in Article 14.

Article 13

1- Ownership of equipment, supplies and other property financed from this Endowment fund shall vest in the Typhoon Committee.

2- Any movable and immovable property and facilities whatsoever which are provided by the Government for the sole purpose of use by the Secretariat shall remain the property of the Government.

Article 14

1- The Endowment fund shall be subject exclusively to the internal and external auditing procedures laid down in the general practice of the Government.

2- The Typhoon Committee shall provide the Government with the following statements and reports on the use of the Contribution, prepared in accordance with the Government general practice on accounting and reporting procedures:

(a) An annual financial statement showing income, expenditures, assets and liabilities as of 31 December each year;

(b) A final report and a final statement within six months after the date of expiration or termination of this Agreement.

Article 15

1- This Agreement may be amended by mutual consent at any time at the request of either Party. Any such amendment shall be in writing and signed by both Parties.

2- The Government reserves the right to suspend payments or claim repayment in full or in part, including the interest accrued to the Contribution, if the funds are found to be misused or not satisfactory accounted for by the Government internal or external auditors. In that connection, reimbursement will be made by Typhoon Committee to the Government in accordance with the audit recommendation as well as the Government general practice.

Article 16

The Typhoon Committee and the Government should seek to settle any differences in the interpretation or application of this Agreement amicably and by consensus. Any dispute between the Typhoon Committee and the Government concerning the interpretation or application of this Agreement shall be settled in accordance with Article XIV of the Host Country Agreement.

Article 17

1- This Agreement shall enter into force on the date of its signature by both Parties.

2- This Agreement shall be reviewed at the end of the four-year period from the date of its signature by both Parties with the possibility of further extension. Notwithstanding the foregoing, this Agreement shall terminate if the Host Country Agreement is terminated pursuant to Article XV thereof.

IN WITNESS WHEREOF, the undersigned, being duly authorized thereto, have signed the present Agreement in the English and Chinese languages in two original copies.
