Amendments to the Commercial Code

The Legislative Assembly decrees, in accordance with paragraph 1) of article 71 of the Basic Law of the Special Administrative Region of Macao, to be applied as law, the following:

Article 1

Amendments to Decree-Law 40/99/M

Articles 11, 17, 20 and 24 of Decree-Law no. 40/99/M, of August 3, are amended; the new text is Annex I to this Law.

Article 2

Amendments to the Commercial Code

Articles 23, 39, 41, 103, 130, 131, 143, 179, 233, 234, 235, 359, 366, 367, 383, 384, 386, 388 and 389 of the Commercial Code, approved by Decree-Law no. 40/99/M, of August 3, are amended; the new text is Annex II to this Law.

Article 3

Amendments to the Portuguese version of provisions of the Commercial Code

The Portuguese version of articles 1181, 1182, 1256 and 1257 of the Commercial Code, approved by Decree-Law no. 40/99/M, of August 3, are amended; the new text is Annex III to this Law.

Article 4

Revocations

1. Article 16 of Decree-Law no. 40/99/M, of August 3, is revoked.

2. Articles 67, 68 and 186 of the Commercial Code, approved by Decree-Law no. 40/99/M, of August 3, are revoked.

Article 5

Use of pre-existing firms

Entrepreneurs who have changed their firms before the entry into force of this law, in accordance with the Commercial Code, approved by Decree-Law no. 40/99/M, of August 3, can request before the Commercial and Motor Vehicles Register [Conservatória dos Registos Comercial e Automóvel, now renamed Conservatória dos Registos Comercial e de Bens Móveis], the use of the pre-existing firms, by means of a simple addition to the register [averbamento].

Article 6

Entry into force

This law shall enter immediately into force.
