Certifico, para efeitos de publicação, que se encontra depositado, neste Cartório, um exemplar dos estatutos da associação «Clube de Ténis Lótus», em chinês “蓮花網球會”, e em inglês «Lotus Tennis Club», sob o número um, no maço número um de documentos arquivados a pedido das partes referentes às associações e fundações do ano de dois mil e quatro, que se regerá pelas cláusulas constantes dos artigos em anexo:

章程

第一條

總則

本會定名為“蓮花網球會”,葡文名稱為“Clube de Ténis Lótus”,英文名稱為“Lotus Tennis Club”,乃一非牟利組織,宗旨是推動及發展體育運動,尤以網球及軟式網球為主。會址設於澳門南灣大馬路815號才能商業中心5樓。如經理事會決議,可遷往澳門其他地點。

第二條

會員之權利

a)出席會員大會,並有發言、提名及投票權;

b)根據章程選舉或被選舉入領導架構;

c)可參與本會舉辦之任何活動。

第三條

會員之義務

a)維護本會的聲譽,促進本會的進步和發展;

b)遵守本會章程及領導機構所定的決議;

c)繳交會費。

第四條

入會及開除

a)申請人需填寫本會表格後,經理事會審核通過,即可成為會員;

b)凡破壞本會聲譽及規條或無故欠交會費之會員,經理事會通過後可給予警告或開除會籍。

第五條

組織架構

本會設以下領導架構:會員大會、理事會及監事會。各架構成員由會員大會選舉產生,任期為兩年,並可連任。

第六條

會員大會

會員大會為本會最高權力機構,設有會長一名、副會長兩名及秘書一名。大會職權為制定會務方針,選舉領導機構,並於需要時修改本會章程。大會會議每年最少召開一次。

第七條

理事會

理事會為本會之執行機構,設有理事長一名、副理事長一名、秘書一名、財政一名及理事三名。負責計劃及制定各類活動,處理日常會務,執行會員大會決議及提交工作報告。

第八條

監事會

監事會設有一名監事長、一名秘書及一名監事。負責監察各項會務工作之進行及提交報告,並審查財務狀況及年度帳目。

第九條

活動經費及公款運用

a)本會財政來源是會費、捐贈和其他支助;

b)本會之公款必須由當屆會長、理事長、副理事長及財政中,其中二人聯署才可合法提取;

c)一切公款只可用於本會有關活動及工作,嚴禁運用公款作私人用途。

第十條

附則

a)會員若參加活動時,如遇任何意外,身體及生命損傷,本會不需負上任何法律責任或賠償;

b)本章程如有遺漏或錯誤,由會員大會修改。

葡文簡稱為“ APMEU ”,

英文名稱為“ Association Small & Medium Enterprises United Macao”

為公佈之目的,茲證明上述社團之章程已於二零零四年九月三十日,存檔於本署之2004/ASS/M2檔案組內,編號為108號,有關條文內容如下:

第一條——中文為“澳門中小企業聯合會”;

葡文簡稱為“APMEU”;

葡文為“Associação Pequenas Médias Empresas Unidas de Macau”;

英文為“Association Small & Medium Enterprises United Macao”。

第二條——會址設在:澳門科英布拉街352號金苑商業中心地下N舖。

第三條——宗旨:本會以推廣及發展各類商貿活動,促進本澳及世界各地商貿及交流合作為宗旨。

第四條——內部章程:本會另設內部章程,規範理、監事會的內部組織,運作。

第五條——會員義務和權益:出席會員大會,維護本會的聲譽及參與推動會務之發展,支援與協助本會所舉辦之各項活動,只要認同本章程及本機構之決定,在登記時是服務於澳門工商業或中小企業便可申請成為會員。

第六條——機構:本會最高權力機構為會員大會,每年進行一次換屆選舉。設會長一名,作為本會法人代表,主持會務工作,若會長缺席,由秘書代之。

第七條——理事會:本會設立理事會,由會員大會選舉產生,由三名或以上成員組成。設理事長一名,秘書及財務,以單數會員組成,任期一年,可連任。執行理事會通過之議決,處理日常會務,建議及舉辦活動。

第八條——監事會:本會設立監事會,由會員大會選舉產生,由三名或以上成員組成。設監事長一名,副監事長及秘書,以單數會員組成,任期一年,可連任。除了法律及章程賦予之職權外,監事會可對理事會提交之賬目、報告和資產債表提出意見。

第九條——經費來源:本會為非牟利之機構,經費均來自會員的會費和社會各界人士的樂意贊助和饋贈。

第十條——會員大會的召集:每年至少召開一次,召開會員大會必須提前八天,以書面通知,載明開會日期、時間、地點及會議之議程:有五分之一會員為合法的目的,有權要求召開會員大會。

第十一條——會員大會決議及權限:會員大會的任何決議應超過半數之會員通過方能有效,其權限:

a)修訂和通過章程修改案(修改章程應有四分之三出席之會員通過方能有效)。

b)選舉和通過本會的一切決議。

c)審議通過每年的工作報告、財務報告、明年預算。

d)解散應有四分之三的全體會員通過,視為有效。

為公佈之目的,茲證明上述社團之章程已於二零零四年九月二十八日,存檔於本署之2004/ASS/M2檔案組內,編號為107號,有關條文內容如下:

第一章

總則

第一條——名稱:本會定名為“新口岸曲藝會”以中文名稱作實。

第二條——會址:澳門新口岸北京街224-246號澳門金融中心地下L舖。

第三條——本會為非牟利團體,為增強愛國愛澳、團結坊眾的理念,培育對曲藝愛好之人士,推動粵劇藝術文化。

第二章

組織

第一條——本會組織包括:

1. 會員大會;

2. 理事會;

3. 監事會。

第二條——會員大會之權限:

1. 制定和修改會章;

2. 選舉理事會和監事會成員;

3. 決定本會之會務方針。

第三條——1. 會員大會由全體有投票權之會員參與組成,壹年召開一次會議,應理事會提議,亦召開特別會議。

2. 會員大會設主席一人、副主席一人、秘書一人和財務一人,由大會選出,任期三年。

3. 會員大會由主席主持,如主席缺席,則由副主席主持,除法律另有規定外,所有決議由有投票權出席之大多數贊成方能生效。

第四條——理事會

1. 本會執行機構為理事會,由會員大會選出九至二十三人組成,但必為單數,任期三年,可連選連任。

2. 理事會推選理事長一人、副理事長二人、秘書一人和財務一人,餘下人數則為理事。

3. 理事會每三個月召開一次,特別情況按需要安排召開。

4. 理事會根據大會所制定之方針及決議展開各項工作。

第五條——理事會成員職責:

1. 理事長:統籌會務實際工作,召開理事會議。

2. 副理事長:協助理事長,負責本會所有會務工作。

3. 財務:審理本會財政開支及每年向大會提交財務報告。

4. 秘書:落實和跟進本會一切工作。

第六條——監事會

1. 本會監督機構監事會,由會員大會選出三人組成。

2. 由理監事成員互選產生監事長任期三年,可連選連任。

3. 監事會職責是監督審理理事會之行政管理機關之運作及財政賬目,以及一年之工作報告。

第三章

會員之申請、義務及權益

第一條——符合本會要求、熱愛曲藝,認同本會宗旨。

第二條——選舉及被選為本會機構成員。

第三條——參與本會舉辦之各項活動。

第四條——可對本會工作提出批評和監督。

第五條——準時繳交會費。

第四章

附則

第一條——本會收入來自會費及透過社會之支持贊助,如有需要可由理事會聘請社會知名人士擔任本會名譽會長、名譽顧問及副會長之職務。

第二條——由會員大會授權理事會負責管理及對新會員加入之審查。

第一章

名稱、總部及宗旨

第一條——本會屬非牟利性質的團體,無存立期限,中文名稱為“澳門國際職業標準舞協會”、英文名稱為“Macau International Professional Ballroom Dancing Association”,會務依澳門現行法律及本章程運作管理。

第二條——本會總部設於澳門南灣大馬路363號地下。

第三條——本會宗旨:

1)團結舞蹈愛好者參與標準舞活動;

2)推動澳門標準舞活動向職業化發展;

3)促進澳門與外地職業標準舞組織的合作與交流。

第二章

會員的權利與義務

第四條——凡認同本會宗旨及經常參與本會活動的人士,經書面提出申請後由理事會審批成為會員。

第五條——會員權利:

a)出席會員大會;

b)參加本會一切活動;

c)享受本會一切福利;

d)要求召開會員大會特別會議;

e)對會內各職務有選舉和被選舉權。

第六條——會員義務:

a)遵守會章、執行會員大會和理事會的決議;

b)按時繳納會費;

c)努力達成本會宗旨和樹立本會聲譽。

第三章

會務機構

第七條——一、會務機構:

a)會員大會;

b)理事會;

c)監事會。

二、會務機構成員由會員大會選出,由所有完全享有會員權利的會員組成。

三、會務機構每屆任期為兩年,可連選連任。

會員大會

第八條——一、會員大會為本會最高權力機構;

二、會員大會設一名會長、若干名副會長及秘書,成員必須為單數;

三、會長兼任會員大會召集人,若會長出缺或因故不能執行職務,由副會長代行職務。

第九條——一、全體會員每年舉行一次平常會議;

二、基於以下原因可召開全體會員特別會議:

a)應會長要求;

b)應理事會或監事會半數以上成員要求。

第十條——會員大會的職權:

a)制定本會的活動方針;

b)審批修改本會章程;

c)審批理事會年度工作報告書和年度財政報告書。

第十一條——1)召開會員大會,須最少提前八天以掛號信方式或最少提前八天透過簽收的方式通知所有會員,通知書內須列明會議的日期、時間、地點及議程;

2)開會時必須有大多數會員出席,若超過指定時間一小時後,不論出席會員人數多寡,均可召開會議。

理事會

第十二條——一、理事會由一名理事長、若干名副理事長及理事組成,成員必須為單數。

二、若理事長出缺或因故不能執行職務,由副理事長代行職務。

第十三條——理事會職權:

a)根據會員大會制定的方針,領導、管理和主持會務活動;

b)招收會員;

c)制作年度工作報告書和財務報告書;

d)委任本會代表;

e)訂定入會費和每月會費;

f)根據會務進展需要聘請社會人士擔任本會的名譽職務;

g)實施在法律及本會章程內並無授予會內其它機關的職權。

監事會

第十四條——一、監事會由一名監事長、若干名副監事長及監事組成,成員必須為單數。

二、若監事長出缺或因故不能執行職務,由副監事長代行職務。

第十五條——一、監事會職權:

a)監督本會行政管理機關的運作;

b)查核本會的財務;

c)就其監察活動編制年度報告;

d)履行法律及本會章程賦予的其他義務。

二、監事會可要求本會的行政管理機關提供必要或適當的資源及方法以履行其職務。

第四章

財務收入及其他

第十六條——以任何名義或來自會費、入會費、補助或捐贈的全部收益,均屬本會的收入來源。

CAPÍTULO I

Denominação, sede e objectivos

Artigo primeiro

(Denominação e duração)

A “澳門加拿大商會”, e em inglês «Canadian Chamber of Commerce in Macao», abreviadamente designada por «Associação», é uma associação sem fins lucrativos, que se rege pelos presentes estatutos, regulamentos internos e legislação vigente em Macau, onde exerce a sua actividade por tempo indeterminado.

Artigo segundo

(Sede)

A Associação tem a sua sede em Macau, na Avenida da Amizade, n.º 555, Edifício Landmark, 13.º andar, sala 1308, podendo o lugar da sua sede ser mudado a todo o momento.

Artigo terceiro

(Objectivos)

1. A Associação tem por objectivos promover o comércio entre o Canadá e Macau e entre o Canadá e outras regiões da Ásia Pacífico, incluindo a República Popular da China.

2. Para alcançar os seus objectivos a Associação irá:

a) Manter informados os membros da Associação relativamente aos desenvolvimentos políticos e económicos no Canadá, Macau e outras regiões da Ásia Pacífico, incluindo a República Popular da China;

b) Representar, dar expressão e eficácia às opiniões da comunidade comerciante canadiana em Macau, relativamente aos negócios, comércio, finanças, indústria e outros assuntos relacionados;

c) Disponibilizar informação obtida por outras organizações através da recolha, avaliação e difusão, junto dos membros, de estatísticas e outras informações sobre o comércio ou outras informações relevantes, incluindo informação regional útil às operações comerciais canadianas na Ásia Pacífico e às políticas e procedimentos actuais do Governo canadiano, especialmente no que diz respeito ao comércio externo;

d) Criar um canal de comunicação no seio da comunidade mercantil, com o Governo de Macau e entre a Associação e os representantes do Governo do Canadá;

e) Associar-se e cooperar com outras Câmaras de Comércio Canadianas na Ásia Pacífico e com outras organizações que partilham os mesmos interesses;

f) Promover medidas destinadas a beneficiar e proteger os interesses em Macau, de sociedades e cidadãos do Canadá;

g) Desenvolver a educação comercial e técnica, criar bolsas de estudo e realizar demonstrações organizadas por, ou de outra forma destinadas a ajudar jovens interessados em prosseguir carreiras comerciais, aceitar donativos e legados e apoiar estabelecimentos ou instituições que visem tais objectivos, agir como administradores ou gestores de quaisquer fundos subscritos ou doados para prossecução dos referidos objectivos e, em geral, assumir e executar quaisquer fundos, considerados consonantes com os objectivos da Associação ou de qualquer modo vantajosos, sejam ou não gratuitos;

h) Editar e publicar quaisquer periódicos, livros ou panfletos que a Associação considere necessários para promoção dos seus objectivos; e

i) Realizar todas e quaisquer acções subsidiárias ou relacionadas com a obtenção dos seus objectivos.

CAPÍTULO II

Associados

Artigo quarto

(Categorias)

Os membros da Associação podem ser pessoas individuais ou colectivas que, além de reunirem todas as condições exigidas pelos estatutos e regulamentos internos, demonstrem interesse na prossecução dos objectivos da Associação.

Artigo quinto

(Admissão de associados)

1. A admissão de associados é da competência do Conselho de Administração.

2. O número de sócios é ilimitado.

Artigo sexto

(Direitos gerais dos associados)

São direitos gerais dos associados:

a) Participar nas assembleias gerais;

b) Requerer a convocação das assembleias gerais, de acordo com o preceituado nos estatutos da Associação;

c) Eleger e ser eleito para os vários órgãos da Associação;

d) Participar nas actividades da Associação, de harmonia com os respectivos regulamentos;

e) Receber os relatórios anuais da Associação;

f) Apresentar, por escrito, à Assembleia Geral as recomendações, propostas, projectos e providências julgadas úteis ao desenvolvimento das actividades da Associação;

g) Propor novos associados;

h) Beneficiar dos serviços que venham a ser prestados pela Associação ou quaisquer instituições ou organizações em que esta se encontre filiada; e

j) Quaisquer outros que lhe sejam atribuídos por estes estatutos, pelos regulamentos internos ou por deliberação de qualquer órgão da Associação.

Artigo sétimo

(Deveres dos associados)

São deveres gerais dos associados:

a) Cumprir e fazer cumprir os estatutos, os regulamentos internos e as deliberações dos órgãos associativos;

b) Contribuir para a prossecução dos fins da Associação;

c) Contribuir para o desenvolvimento e prestígio da Associação;

d) Participar nas reuniões dos órgãos associativos a que pertençam; e

e) Pagar as quotas de acordo com o estabelecido pelo Conselho de Administração.

CAPÍTULO III

Dos órgãos sociais

Artigo oitavo

(Órgãos)

São órgãos da Associação:

a) A Assembleia Geral;

b) O Conselho de Administração; e

c) O Conselho Fiscal.

Artigo nono

(Assembleia Geral)

1. A Associação realizará em cada ano, uma Assembleia Geral designada Assembleia Geral Anual, além de quaisquer outras que se realizem nesse ano, e deverá ser identificada como tal nos avisos de convocação. A Assembleia Geral Anual será realizada em tempo e local a decidir pelo Conselho de Administração.

2. Todas as assembleias gerais, além da Assembleia Geral Anual serão designadas assembleias gerais extraordinárias.

3. O Conselho de Administração pode, sempre que considere necessário, convocar uma Assembleia Geral extraordinária. As assembleias gerais extraordinárias também podem ser convocadas a pedido de, pelo menos, um terço dos associados, em plena capacidade dos seus direitos.

Artigo décimo

(Convocação da Assembleia Geral)

A Assembleia Geral deverá ser convocada por carta registada, expedida para a última morada conhecida de cada um dos sócios, em plena capacidade dos seus direitos, com a antecedência mínima de 8 dias, contendo a indicação do local, do dia, da hora e da ordem de trabalhos.

Artigo décimo primeiro

(Assembleia Geral: quórum e deliberações)

1. A Assembleia Geral só poderá funcionar, em primeira convocação, se estiverem presentes, no mínimo, metade dos associados, em pleno exercício dos seus direitos.

2. Se não existir o quórum referido no número precedente, a Assembleia reunirá em segunda convocação, com qualquer número de associados, no dia e hora indicados na respectiva convocatória, mas não antes de decorridos trinta minutos sobre a hora fixada para a primeira convocação.

3. Salvo o disposto nos números seguintes, as deliberações da Assembleia Geral são tomadas por maioria dos votos dos associados presentes, desde que no pleno exercício dos seus direitos.

4. As deliberações sobre alterações estatutárias serão tomadas por três quartos dos votos dos associados, desde que no pleno exercício dos seus direitos.

5. As deliberações sobre a dissolução da Associação requerem o voto de três quartos de todos os associados em pleno exercício dos seus direitos.

Artigo décimo segundo

(Competências da Assembleia Geral)

Sem prejuízo de outras atribuições que legalmente lhe sejam cometidas, à Assembleia Geral compete, nomeadamente:

a) Definir as directivas da Associação;

b) Discutir, votar e aprovar as alterações aos estatutos e aos regulamentos internos que tenha aprovado;

c) Eleger, por escrutínio, os membros do Conselho de Administração e do Conselho Fiscal;

d) Apreciar e aprovar o balanço, o relatório e as contas anuais apresentadas pelo Conselho de Administração e o respectivo parecer do Conselho Fiscal; e

e) Apreciar e aprovar o orçamento anual e o plano de actividades elaborado pelo Conselho de Administração, e respectivas alterações.

Artigo décimo terceiro

(Conselho de Administração)

1. O Conselho de Administração é composto por um número mínimo de cinco membros e máximo de quinze membros, sempre em número ímpar, que elegem entre si:

a) Um presidente;

b) Dois vice-presidentes;

c) Um secretário;

d) Um tesoureiro.

2. O presidente é:

a) O principal representante da Associação;

b) Ex oficio, o presidente da Mesa da Assembleia Geral da Associação; e

c) Responsável por todas as demais funções, que lhe sejam cometidas, de tempos a tempos, pela Assembleia Geral ou pelo Conselho de Administração.

3. O vice-presidente deve:

a) Executar todas as funções do presidente, na sua ausência, conforme designação, ocasional, do presidente; e

b) Ser responsável pelos demais deveres que lhe sejam cometidos, de tempos a tempos, pela Assembleia Geral ou pelo Conselho de Administração.

4. O secretário deve:

a) Ser responsável pelas actas das reuniões da Assembleia Geral e do Conselho de Administração;

b) Fazer o registo da correspondência da Associação e guardar todos os documentos e registos da Associação que estejam na sua posse; e

c) Ser responsável por todas as demais funções que lhe sejam exigidas, de tempos a tempos, pela Assembleia Geral ou pelo Conselho de Administração.

5. O tesoureiro deve:

a) Supervisionar o registo das transacções financeiras da Associação;

b) Supervisionar a preparação do orçamento anual; e

c) Ser responsável por todas as demais funções que lhe sejam exigidas, de tempos a tempos, pela Assembleia Geral ou pelo Conselho de Administração.

6. Os primeiros membros da Associação e do Conselho de Administração são:

O Sr. Kan Ka Chong;

o Sr. Crawford, John William; e

o Sr. Neil Patrick Johnston.

Terão, inter alia, direitos e poderes para:

a) Admitir novos associados; e

b) Nomear membros da Associação para o Conselho de Administração.

Artigo décimo quarto

(Competências do Conselho de Administração)

1. Compete ao Conselho de Administração assegurar o funcionamento e gestão regular dos assuntos da Associação, atenta a prossecução dos seus fins, e em especial (mas não limitado):

a) Orientar superiormente as actividades da Associação;

b) Praticar todos os actos necessários à prossecução dos fins da Associação:

c) Representar a Associação, em juízo e fora dele, através do seu presidente, ou de outro membro especialmente designado para o efeito, pelo presidente;

d) Executar as deliberações da Assembleia Geral;

e) Deliberar sobre a admissão de novos associados;

f) Administrar e proteger os bens da Associação;

g) Decidir, dirigir e organizar as actividades da Associação directamente ou através de comissões;

h) Criar e pôr em funcionamento a estrutura interna da Associação;

i) Elaborar e supervisionar a elaboração de regulamentos internos;

j) Elaborar o balanço, o relatório e as contas referentes a cada exercício;

k) Preparar e submeter à Assembleia Geral o orçamento para cada ano de exercício e os planos anuais de actividade:

l) Nomear membros para ocuparem eventuais vagas no Conselho de Administração; e

m) Exercer as demais competências que não sejam atribuídas legal ou estatutariamente a quaisquer outros órgãos associativos.

Artigo décimo quinto

(Funcionamento do Conselho de Administração)

1. O Conselho de Administração estabelecerá a periodicidade das suas reuniões.

2. Extraordinariamente, o Conselho reunirá quando para o efeito for convocado pelo presidente.

3. Tanto nas reuniões ordinárias como nas extraordinárias, o presidente indicará, por escrito, a respectiva ordem de trabalhos, que será entregue aos membros do Conselho com a antecedência mínima de duas horas, salvo se os membros do Conselho abdicarem deste direito.

4. O quórum para as reuniões do Conselho de Administração é de três membros.

5. O presidente ou, na sua ausência, o vice-presidente, deverá presidir às reuniões do Conselho de Administração.

6. As deliberações do Conselho de Administração são tomadas por maioria simples e em caso de empate o presidente da reunião tem direito a um voto extra.

Artigo décimo sexto

(Vinculação)

1. A Associação obriga-se pela assinatura do presidente do Conselho de Administração, e nas suas ausências e impedimentos, pela assinatura de um dos vice-presidentes ou de outro membro do Conselho de Administração, especialmente designado para o efeito.

2. A Associação pode ainda obrigar-se nos termos que livremente vierem a ser deliberados e aprovados pela Assembleia Geral.

Artigo décimo sétimo

(Conselho Fiscal)

1. O Conselho Fiscal é constituído por um presidente, um vice-presidente e um secretário que deverão ser eleitos na Assembleia Geral Anual, excepto o primeiro Conselho Fiscal que será eleito em Assembleia Geral extraordinária convocada para o efeito.

2. O Conselho Fiscal não pode ser constituído por membros, em exercício, do Conselho de Administração.

3. Para além das atribuições que lhe cabem legal e estatutariamente, compete especialmente ao Conselho Fiscal supervisionar a execução das deliberações das assembleias gerais e dar parecer escrito, na Assembleia geral Anual, sobre o balanço, relatório anual e contas elaboradas pelo Conselho de Administração.

4. O Conselho Fiscal pode exigir do Conselho de Administração todos os meios necessários ou convenientes ao cumprimento das suas funções, nomeadamente apoio no que diz respeito ao relatório anual e contas.

Artigo décimo oitavo

(Reuniões do Conselho Fiscal)

1. O Conselho Fiscal reunirá ordinariamente uma vez ao ano.

2. O Conselho Fiscal reunirá extraordinariamente sempre que seja convocado pelo presidente ou, na sua ausência, pelo vice-presidente ou sempre que assim o solicitar o Conselho de Administração.

3. O procedimento das reuniões do Conselho de Administração aplica-se, mutatis mutandi, às do Conselho Fiscal.

4. Existe quórum com dois membros do Conselho Fiscal.

5. As deliberações são aprovadas por maioria simples dos votos presentes, em caso de empate o presidente tem direito a voto de desempate.

Artigo décimo nono

(Mandatos)

O mandato dos titulares dos órgãos associativos eleitos pela Associação terá início na data da sua eleição até à Assembleia Geral Anual seguinte.

CAPÍTULO IV

Receitas e património

Artigo vigésimo

(Receitas)

Para a realização do seu objecto tem a Associação as seguintes receitas:

a) Quotas dos associados;

b) Receitas decorrentes da sua actividade (p.ex. eventos sociais, seminários, etc.);

c) Subsídios e subvenções que lhe venham a ser concedidos por entidades públicas ou privadas, nacionais ou estrangeiras;

d) Doações e legados efectuados por quaisquer pessoas; e

e) Quaisquer outras que por lei ou contrato venha a receber.

Disposições finais e transitórias

Artigo vigésimo primeiro

(Regulamento interno)

No prazo de três meses após a constituição jurídico-legal da Associação, os associados, em Assembleia Geral extraordinária aprovarão os Regulamentos Internos elaborados pelo Conselho de Administração em conformidade com os presentes Estatutos e com a legislação aplicável.

CHAPTER I

Designation, registered office and purpose

Article 1

(Designation and duration)

The association “澳門加拿大商會”and in English «Canadian Chamber of Commerce in Macao», hereinafter referred to as the «Association», is a non-profit association that is governed by these articles of association, by the internal regulations and by the laws and regulations in force in Macau, where it carries out its activities for an indeterminate period of time.

Article 2

(Registered office)

The Association has its registered office in Macau, at Avenida da Amizade, n.º 555, Landmark, 13.º andar, sala 1308, but it can be transferred at any time.

Article 3

(Objects)

1. The objects of this Association are to facilitate and foster commerce, contacts and communications between Canada and Macao as well as between Canada and other jurisdictions in the Asia-Pacific area, including the People’s Republic of China.

2. In order to pursue its objects the Association shall:

a) Keep the Association members informed about current political and economic developments in Canada, Macao and other jurisdictions in the Asia-Pacific area, including the People’s Republic of China;

b) Represent, express and give effect to the opinions of the Canadian business community in Macao regarding trade, commerce, finance, industry and related questions;

c) Supplement information gathered by other organizations by collecting, evaluating and disseminating among its members statistical and other information concerning commerce or other information of interest to them, including regional information useful to Canadian business operation in the Asia-Pacific area and current Canadian Government policies and procedures especially as they affect overseas trade;

d) Provide a channel of communication within the business community, with the Government of Macao, and between the Association and Government representatives of Canada;

e) Associate and cooperate with other Canadian Chambers of Commerce in the Asia-Pacific area and with other organizations sharing mutual interests;

f) Promote measures calculated to benefit and protect the interests in Macao of companies and citizens of Canada;

g) Advance commercial and technical education, found scholarships and exhibitions to be held by or otherwise assist young persons desiring to train for commercial careers, and to accept donations and endowments and support establishments and institutions for any of such purposes, to act as trustees, custodian trustees or managers of any funds subscribed or donated for any of such purposes and generally undertake and execute any trusts the undertaking of which may be considered consonant with the other objects of the Association or otherwise desirable, either gratuitously or otherwise;

h) Print and publish any periodicals, books or leaflets that the Association may think desirable for the promotion of its objects; and

i) Do any and all other things incidental or related to the attainment of the above objects.

CHAPTER II

Members

Article 4

(Categories)

The Association will have members that may be individuals or corporate entities that, besides meeting or fulfilling all the requirements prescribed by its internal regulations, have an interest in assisting the Association in the attainment of its objects.

Article 5

(Admission of members)

1. The power to admit members resides with the Board of Directors.

2. The number of members is unlimited.

Article 6

(Basic rights of the members)

The following constitutes the basic rights of the members:

a) To participate in General Meetings;

b) To call for a General Meeting to be held, in accordance with the articles of association;

c) To appoint and be appointed for positions in various Constituent Bodies of the Association;

d) To participate in the Association activities in compliance with the respective regulations;

e) To receive the Associations annual reports;

f) To propose in writing to the General Meeting recommendations, proposals, projects and measures deemed useful to the development of the Association activities;

g) To propose new members;

h) To enjoy the services that may be rendered by the Association or by any institutions or organizations of which the Association is a member;

i) Any other rights that are granted by these articles of association, by the internal regulations or by a resolution duly passed by any Constituent Bodies of the Association.

Article 7

(Duties of the members)

The following constitute the duties of the members:

a) To abide by the articles of association, the internal regulations and the resolutions duly passed by any of the Constituent Bodies of the Association;

b) To contribute to attaining the objects of the Association;

c) To contribute to the development and reputation of the Association;

d) To participate in meetings of the va-rious Constituent Bodies in which he or she is a member;

e) To pay membership fees and any other charges as may be set by the Board of Directors from time to time.

CHAPTER III

Constituent Bodies of the Association

Article 8

(Constituent Bodies)

The Association has the following Constituent Bodies:

a) General Meeting;

b) Board of Directors; and

c) Supervisory Board.

Article 9

(General Meeting)

1. The Association shall in each year hold, a General Meeting as its Annual General Meeting in addition to any other meetings in that year, and shall specify the meeting as such in the notices calling it. The Annual General Meeting shall be held at such date and place as the Board of Directors shall appoint.

2. All General Meetings other than the Annual General Meetings shall be called Extraordinary General Meetings.

3. The Board of Directors may, whenever they think fit, convene an Extraordinary General Meeting, and Extraordinary General Meetings shall also be convened on the requisition, or, in default, may be convened by such requisitionists, of members of the Association in good standing, constituting no less than one third of the total membership of the Association.

Article 10

(Notice of General Meeting)

A General Meeting shall be called by 8 days notice in writing at the least. The notice shall specify the agenda of the meeting, the place, the day and the hour of the meeting and shall be sent by registered post to the last known addresses of the members in good standing of the Association.

Article 11

(General Meeting: Quorum and Resolutions)

1. A General Meeting can only be held, on the first call, if a quorum of members is present, represented by 50% of the members of the Association in good standing.

2. If the quorum mentioned in the preceding paragraph does not exist, the General Meeting will be held, on the second call, with the presence of any number of members in good standing, on the day, time and the place mentioned in the respective call notice, but never before one-half hour as from the time settled for the first call.

3. Save as for the cases identified in the following paragraphs, the resolutions of the General Meeting must be taken by a majority of the votes cast of the members in good standing.

4. The resolutions in respect of amendments to the articles of association must be passed by a three quarters majority of the votes cast of the members in good standing.

5. Resolutions in respect of the dissolution of the Association must be passed by a three quarters majority of the votes of all members of the Association in good standing.

Article 12

(Powers of the General Meeting)

In addition to any other rights granted by law, the General Meetings shall have, namely but not be limited to, the following powers:

a) To determine the guidelines of the Association;

b) To discuss, vote and approve amendments to the articles of association and to the internal regulations previously approved;

c) To appoint, through voting, the members of the Board of Directors and the Supervisory Board;

d) To assess and approve the Annual Accounts presented by the Board of Directors with the correspondent opinion report from the Supervisory Board; and

e) To assess and approve the annual budget and the activities plan prepared by the Board of Directors, as well as any amendments thereto.

Article 13

(Board of Directors)

1. The Board of Directors shall have a minimum of five and maximum of fifteen members, always in odd number, who shall elect among themselves:

a) One president;

b) Two vice-presidents;

c) One secretary; and

d) One treasurer.

2. The president is:

a) The principal representative of the Association;

b) ex officio, the chairman of the General Meetings of the Association; and

c) Responsible for all other duties required of him or her, from time to time, by a General Meeting or by the Board of Directors.

3. A vice-president shall:

a) Perform those functions of the president in his or her absence as designated by the president from time to time; and

b) Be responsible for all other duties required of him or her, from time to time, by a General Meeting or by the Board of Directors.

4. The secretary shall:

a) Keep minutes of the General Meetings and meetings of the Board of Directors;

b) Keep records of the correspondence of the Association and keep in safe custody all documents and records of the Association coming into his or her possession;

c) Be responsible for all other duties required of him or her from time to time by the General Meeting or by the Board of Directors.

5. The treasurer shall:

a) Oversee the maintenance of records of the financial transactions undertaken by the Association;

b) Oversee the preparation of the annual budget; and

c) Be responsible for all other duties required of him or her from time to time by a General Meeting or by the Board of Directors.

6. The first members of the Association and its Board of Directors are:

Mr. Kan Ka Chong;

Mr. Crawford, John William; and

Mr. Neil Patrick Johnston.

They shall have, inter alia, the right and power to:

a) Admit any new members of the Association; and

b) Appoint members of the Association to be members of the Board of Directors.

Article 14

(Powers of the Board of Directors)

1. The Board of Directors shall have such powers as to ensure the proper functioning and effective management of all Association matters, bearing in mind the objects of the Association and in particular (without any limitation):

a) To carefully oversee the Association’s activities;

b) To carry out all acts deemed necessary for the attainment of the Association’s objects;

c) To represent the Association before the courts and elsewhere, through its president or any other of its members specially appointed by the president to do so;

d) To execute all resolutions passed at General Meetings;

e) To decide on the admission of members;

f) To administer and protect the Association’s assets;

g) To decide, conduct and organise the Association’s activities directly or through its committees;

h) To set up and administer the Associations internal structure;

i) Define and oversee internal regulations;

j) Prepare reports and accounts for each accounting period;

k) To prepare the budget for each accounting period and annual activity plans and present them to the Annual General Meeting;

l) To appoint members to fill up, from time to time, vacant positions in the Board of Directors; and

m) To exercise all remaining powers that are not legally or statutory granted to any other associative body.

Article 15

(Operation of the Board of Directors)

1. The Board of Directors will establish the frequency of its ordinary meetings.

2. The Board of Directors will hold such extraordinary meetings as and when called for by the president.

3. Subject to the right of all members of the Board of Directors to waive any notice, for each ordinary or extraordinary meeting, the president will cause a notice thereof with a written agenda to be delivered to the members of the Board at least 2 hours before such meeting.

4. The quorum for a meeting of the Board of Directors is three.

5. The president or, in his or her absence, the vice-president, shall chair meetings of the Board of Directors.

6. Resolutions of the Board of Directors are passed by a simple majority of the votes cast and in case of a tie the chairman of the meeting shall have an extra vote.

Article 16

(Binding)

1. The Association is bound by the signature of the president, or, during his or her absence or impediment, by the signature of one of the vice-presidents, or, by the signature of any other member or members of the Board of Directors specifically appointed to do so.

2. The Association may also be bound in accordance with any terms thereof which are voted and approved by a General Meeting.

Article 17

(Supervisory Board)

1. The Supervisory Board shall comprise of a chairman a vice-chairman and a secretary who, are elected to their positions at an Annual General Meeting or, in the case of the first Supervisory Board, at an extraordinary General Meeting called for such purpose.

2. The members of the Supervisory Board shall not be an incumbent member of the Board of Directors.

3. In addition to its statutory powers of supervising the execution of the resolutions passed at General Meetings, the Supervisory Board is required to give its opinion in writing to an Annual General Meeting on the Annual Report and Accounts prepared by the Board of Directors.

4. The Supervisory Board shall have the right and power to receive from the Board of Directors all such means and information deemed necessary or convenient by the Supervisory Board to perform its duties pertaining to the Annual Report and Accounts.

Article 18

(Meetings of the Supervisory Board)

1. The Supervisory Board will hold an ordinary meeting one time per year.

2. The Supervisory Board will hold an extraordinary meeting when called by its chairman, or, in his or her absence or impediment, by its vice-chairman, or, whenever requested to do so by the Board of Directors.

3. The procedure of the meetings of the Board of Directors shall apply, mutatis mutandi, to the meetings of the Supervisory Board.

4. The quorum of a meeting of the Supervisory Board is two.

5. Resolutions of the Supervisory Board shall be passed by a simple majority of the votes cast and in the case of a tie the chairman of the meeting shall have an extra vote.

Article 19

(Mandates)

The term of a member in the Board of Directors or the Supervisory Board of the Association shall commence on the date of his or her appointment until the convening of the Annual General Meeting immediately following.

CHAPTER IV

Income and assets

Article 20

(Income)

In order to carry out the objects of the Association and to meet operating costs, the Association can generate revenue from the following sources:

a) Membership fees;

b) Activities (e.g. social events, seminars or other);

c) Funding and subventions granted by any public or private entity, local or foreign;

d) Donations or legacies; and

e) Any other sources by the operation of law or contract.

CHAPTER V

Final provisions

Article 21

(Internal Regulation)

Within three months from the legal incorporation of the Association, the members in an Extraordinary General Meeting shall approve a set of Internal Regulations prepared by the Board of Directors in compliance with these articles and the relevant laws.
